The provisions of these Terms are legally binding on you. By clicking on the "agree" button at the end of the registration form on www.cofacio.com ("Website"), or by making any use of the Website or the services provided by Cofacio, you are indicating your agreement to be bound by these Terms. You are advised to print and retain a copy of these Terms for your future reference. If you do not agree with the provisions of these Terms, you will not be able to use the Website and all its features and functionalities.
The Website is owned and managed by Cofacio Ltd ("We" or "Us" or "Our"), a company registered in England and Wales with the company registration number 06863795 and registered address at Unit 1, The Lawn, Ealing Green, Ealing W5 5ER.

You do not need to register with us to use the Cofacio Services. However, if you use the Cofacio Services as an unregistered user ("Unregistered User"), you may only access the unregistered aspect of the Cofacio Services.
If you wish to access all aspect of the Cofacio Services, you will need to register with us as a registered user ("Registered User" or "You"). You can do so by clicking on the join page to complete your details using the online registration form. To provide you with a safe environment to use the Cofacio Services, we may conduct verification and security procedures in respect of the information provided by you in your online registration form.
You warrant that the information you provide to us at all times is true, accurate and correct. You agree to promptly notify us of any changes to your personal details so that we may update our records of your details to provide you with the Cofacio Services.
We will send you an email ("Confirmation Email") confirming your registration with us once we have received and accepted your registration with us. You will need to click on the link in the Confirmation Email to finalise your registration process. We reserve the right to suspend your access to the Website or the Cofacio Services if we have reasons to believe that you have not complied with this provision.
If you are a Registered User, your contract ("Contract") with us shall commence on the date of your Confirmation Email. If you are an Unregistered User, your Contract with us commences from the date of your first use of the Cofacio Services.
You may terminate your Contract by ceasing all use of the Cofacio Services and the Website. If you are a Registered User and would like us to remove your personal details from our system, you will need to send us a written notification to info@cofacio.com. It may take us up to seven (7) working days to remove your personal details from our system and we shall send you a confirmation email once that is done.
You are solely responsible and liable for all activities on the Website and use of the Cofacio Services whether you are a Registered User or an Unregistered User. If you are a Registered User, we highly recommend that you keep your Login Details safe and secure to ensure that they are not used without your permission. If you notice or have knowledge of any breach of security or unauthorised use of your Login Details, please contact us immediately.
The purpose of the Cofacio Services is to promote the sharing of knowledge and information amongst the Registered Users and Unregistered Users. However, to ensure that the Cofacio Services are provided to and enjoyed by all Registered and Unregistered Users, you agree that you shall not submit to appear on the Website any images, videos, audio or word files, external links, information or all other material of all format ("Your Submissions") that may reasonably be deemed to be offensive, illegal, inappropriate or in any way:
You grant us a non-exclusive, perpetual, irrevocable, worldwide licence to make Your Submissions available on the Website and to edit and/or paraphrase Your Submissions.
It is our aim to make Your Submissions (wholly or partly) available on the Website. However, we reserve the right to edit, remove, paraphrase or refuse to publish Your Submissions (wholly or partly) on the Website if we reasonably believe that you have abused your right as a Registered User by failing to abide by the provisions of these Terms.
You must ensure that you have the right to use the intellectual property rights in Your Submission. As we are unable to verify your use of such intellectual property rights, you agree that by submitting Your Submission, you have not infringed any intellectual property rights or any other proprietary rights.

We take breaches of this provision very seriously and therefore reserve the right to take any action that we deem necessary. This can include, without limitation, suspension or termination of your use of the Cofacio Services and/or the Website. In certain circumstances we may instigate legal proceedings as appropriate if there is illegal use of our Website or the Cofacio Services.
We take breaches of the provisions under these Terms and specifically in relation with clauses 4 and 5 very seriously. If you are a Registered User, we will notify you if you have breached any of the provisions of these Terms and require you to remedy or refrain from repeating the breach.
However, at times, we may be required to suspend or terminate your access and use of the Website and/or Cofacio Services if your breach of these Terms is so serious or if you have compromised our legal position. We will notify you of these in writing if they arise. The circumstances which give us a right to suspend and/or terminate your access to the Website and/or the Cofacio Services are as follows:
Once we terminate your Contract under this provision, you will not be listed as a Registered User with us and therefore, cease to have any use of the Website and/or the Cofacio Services as a Registered User.
You hereby warrant that (a) you have the right and capacity to enter into and be bound by these Terms; and (b) you shall comply with all applicable laws regarding your use of the Website and the Cofacio Services.
If you are under the age of 18, you must obtain your parent's consent if you wish to register as a Registered User or use aspects of the Cofacio Services and the Website as an Unregistered User.
We only provide you with the facility to contact, communicate and socialise with other Registered Users and Unregistered Users either using the Website, via the Internet or to meet in person. We do not in any way participate in any communication, transaction, meet-ups, set-ups or any relationship between you and other users of the Cofacio Services and the Website. We therefore recommend that you take all safety precautions when contacting, socialising, and engaging in any business transactions or business or social gatherings and meetings with such other users.
Due to the nature of the Cofacio Services, we do not have any control over Your Submissions or the submissions of other users. Consequently we are unable to warrant, promise or guarantee that all information provided to you using the Website and/or the Cofacio Services is accurate, correct or suitable for your specific use and such information is provided "as is". We recommend that you do not rely on such information in making or refraining from making a decision or to embark on a specific course of action. If you intend to do so, you do so at your own risk.
We may display links to third party websites and third party advertising banners on the Website. However, we cannot be responsible and do not accept any liability for the content and your use of such third party links and advertising banners.
We also rely on other service providers (such as network provider, data centres, telecommunication providers) to make the Website and the Cofacio Services available to you. Whilst we take all reasonable steps available to us to provide you with a good level of service, we cannot guarantee that the service we provide will be fault free or uninterrupted at all times. We therefore do not take responsibility for any losses you may suffer as a result of delays or failures of the Website or the Cofacio Services as a result of our service providers.
To the extent permitted by law, we expressly exclude:
a) all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity;
b) any liability for direct, indirect or consequential loss or damage incurred by you or the use of your Login Details where you are a Registered User in connection with the Website and the Cofacio Services, including without limitation, any liability for:

The exclusion above does not affect our liability for death or personal injury arising from our negligence nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter nor any other liability which cannot be excluded or limited under the applicable law.
We and our licensors own all rights in the intellectual property rights relating to the Website and the contents of the Website. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
You may print off one copy and you may download extracts of any pages from the Website solely for your personal reference and you may draw the attention of other users to Your Submissions or materials posted on the Website.
You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
Our status (and that of any identified contributors including other Registered and Unregistered Users) as the author of all materials on the Website must always be acknowledged. You must not use any part of the submissions of other users and all materials on the Website for commercial purposes without obtaining a licence to do so from us or our licensors.
If you print off, copy or download any part of our site in breach of these Terms your right to use the Website and the Cofacio Services will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.
We want to ensure that you are satisfied with your use of the Cofacio Services and the Website. If you are unhappy with the Cofacio Services, any of the submissions made by other users or any other materials which appears on the Website, please write to us at: complaints@cofacio.com and quoting "COMPLAINT" as the title of the subject matter.
We may from time to time change and update these Terms. If we do so, we shall inform you of these changes and updates by using the Website. You will have a choice of terminating your Contract with us if you disagree with these Terms.
If any of the provisions of these Terms are deemed to be invalid, unlawful or unenforceable for any reason, they will to the extent be severed from the remaining Terms and the rest of the provisions of these Terms shall continue to be valid to the fullest extent permitted by law.
These Terms shall be governed by and construed in accordance with English law and the English courts shall have exclusive jurisdiction. If you live outside the UK, English law shall apply only to the extent that it does not deprive you of any legal protection accorded under the law of the place where you are habitually resident. If English law deprives you of any legal protection which is accorded to you under your local law, these terms will be governed by your local law and any dispute or claim arising out of or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the courts where you are habitually resident.
